Proofpoint is paying roughly $6.3 billion in cash for Varonis, a publicly traded company, in a deal the two expect to close in the first half of 2027. Most of the cybersecurity industry still frames protection around the network, the endpoint or who's logged in. Sumit Dhawan, CEO of Proofpoint, told John Furrier on theCUBE that the real contest has moved to the data itself.

"Data is becoming the next frontier of cybersecurity."

Sumit is the one who structured the deal and now has to make the combined bet work: the companies already project the merged business will exit next year near $3.5 billion in annual recurring revenue.

Key Takeaways

  • Proofpoint is paying $6.3 billion in cash for Varonis, with a close expected in the first half of 2027

    • The combined company should exit next year near $3.5 billion in ARR, with growth plus margin above the "rule of 40" benchmark

  • Data, not the network or the endpoint, is cybersecurity's next frontier, Sumit says, because AI runs on it

    • Proofpoint protects data while it's in use; Varonis maps where it lives and who can reach it

  • Unmonitored AI access to data is itself a new attack surface, and human-staffed security teams can't keep pace

    • He says alert-and-log triage built for people isn't built for "agent and machine speed"

  • A shared knowledge graph joining both companies' signals is the real technical asset, not the dashboards

    • It combines human- and AI-access signals into what Sumit calls the richest intelligence available

  • Sumit calls Microsoft a partner, not a competitor, and says Proofpoint goes deeper where Microsoft's baseline tools stop

    • Proofpoint is building detection and remediation agents, but keeps humans in the loop on governance

  • Sumit expects agentic change to move twice as fast as most people assume

    • Within five years, he sees Proofpoint becoming a governance layer sitting between AI agents and enterprise data

1. The $6.3B Cash Deal

Sumit opened by confirming what had already been rumored: Proofpoint is acquiring Varonis in an all-cash transaction.

"It's a deal of Proofpoint acquiring... Varonis... that amounts to roughly $6.3 billion." — Sumit Dhawan

The companies are now moving through regulatory approvals, with Sumit expecting "minimal competitive" friction given how complementary the two businesses are. He put Varonis's current revenue at close to a billion dollars in annual SaaS sales. That growth rate is faster than Proofpoint's own data-security business, which he said is already growing in the high teens.

The combined company should exit next year near $3.5 billion in ARR, with growth plus profit margin above the "rule of 40" benchmark

"We anticipate... the combined company is going to be almost 3 and 1/2 billion dollars in ARR... with north of rule of 40 right away." — Sumit Dhawan

2. Data Feeds AI, AI Feeds Risk
